1. Agreement to Terms

Welcome to NeuroAura, LLC ("NeuroAura," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, services, and products (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

2. Description of Services

NeuroAura is developing a cognitive wellness platform designed to help users track and optimize their cognitive performance using wearable device data and personalized insights. We are currently in the pre-launch phase and accepting waitlist deposits from interested users.

Current Service Offerings:

  • Waitlist registration for early access to the platform
  • Deposit collection to reserve your spot for the upcoming service launch

Future Service Offerings (subject to change):

  • Cognitive performance tracking and analytics
  • Personalized recommendations based on wearable device data
  • AI-powered coaching and insights
  • Integration with Apple Watch and other wearable devices

3. Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding contract
  • Reside in a jurisdiction where our Services are available
  • Comply with all applicable laws and regulations

By using our Services, you represent and warrant that you meet these eligibility requirements.

4. Account Registration and Waitlist Deposit

4.1 Account Information

To join our waitlist, you must provide:

  • Your full name
  • A valid email address
  • Payment information for the deposit

You agree to provide accurate, current, and complete information and to update this information as necessary to keep it accurate and current.

4.2 Waitlist Deposit

Deposit Amount: $29.00 (USD)

Purpose: The deposit secures your place on the waitlist for early access to NeuroAura's platform when it launches.

What the Deposit Covers: The deposit will be credited toward your first month's subscription fee when the service launches. If you choose not to subscribe when the service becomes available, you may request a full refund (see Section 4.3).

4.3 Refund Policy

Full Refund Guarantee: You are entitled to a full refund of your deposit if:

  • The NeuroAura service is not available within 12 months of your deposit date (deposit date: the date your payment is processed)
  • You request a refund before the service launches

How to Request a Refund: To request a refund, email us at support@neuroaura.com with "Refund Request" in the subject line and include:

  • Your full name
  • Email address used for registration
  • Date of deposit

Refund Processing: Refunds will be processed within 14 business days of approval and will be returned to the original payment method.

No Refund After Launch: Once you activate your subscription and begin using the NeuroAura platform, the deposit is non-refundable as it has been applied to your subscription fee.

5. Subscription and Payments (Future Service)

5.1 Subscription Pricing

When the NeuroAura platform launches, the anticipated monthly subscription fee will be between $79-$99 per month (subject to change). Your waitlist deposit of $29 will be credited toward your first month's subscription.

5.2 Billing

Subscriptions will be billed on a recurring monthly basis. You authorize us to charge your payment method automatically each billing period until you cancel your subscription.

5.3 Payment Processing

All payments are processed securely through Stripe, a third-party payment processor. We do not store your full credit card information. By providing payment information, you agree to Stripe's Terms of Service and Privacy Policy.

5.4 Cancellation

You may cancel your subscription at any time by contacting us at support@neuroaura.com. Cancellations will take effect at the end of your current billing period. No refunds will be provided for partial months of service.

6. User Responsibilities

You agree to:

  • Provide accurate and truthful information
  • Maintain the confidentiality of your account credentials
  • Notify us immediately of any unauthorized use of your account
  • Use the Services only for lawful purposes and in accordance with these Terms
  • Not interfere with or disrupt the Services or servers/networks connected to the Services
  • Not use the Services to transmit any harmful, offensive, or illegal content

7. Intellectual Property Rights

7.1 Our Intellectual Property

All content, features, functionality, and materials available through the Services, including but not limited to text, graphics, logos, images, software, and trademarks, are the exclusive property of NeuroAura, LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use, subject to these Terms.

7.3 Restrictions

You may not:

  • Copy, modify, distribute, sell, or lease any part of our Services
  • Reverse engineer or attempt to extract the source code of our software
  • Use our trademarks, logos, or branding without our prior written consent

8. User-Generated Content

If the Services allow you to submit, upload, or share content (e.g., feedback, reviews, data):

  • You retain ownership of your content
  • You grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content for the purpose of operating and improving the Services
  • You represent and warrant that you have the right to share such content and that it does not violate any third-party rights or applicable laws

9. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our Privacy Policy.

10. Health and Medical Disclaimers

IMPORTANT: PLEASE READ CAREFULLY

10.1 Not Medical Advice

NeuroAura's Services, including all content, features, analytics, recommendations, and insights, are provided for informational and educational purposes only. They are NOT intended to be a substitute for professional medical advice, diagnosis, or treatment.

10.2 No Doctor-Patient Relationship

Use of the Services does not create a doctor-patient, therapist-patient, or any other professional healthcare relationship between you and NeuroAura, its employees, contractors, or affiliates.

10.3 Consult Healthcare Professionals

Always seek the advice of your physician, psychiatrist, psychologist, or other qualified healthcare provider with any questions you may have regarding a medical condition, mental health concern, or treatment decisions. Never disregard professional medical advice or delay seeking it because of information you obtained through our Services.

10.4 Emergency Situations

If you are experiencing a medical or mental health emergency, call 911 (or your local emergency number) immediately. Do not rely on the Services for emergency medical assistance.

10.5 Cognitive Performance Tracking

The Services may provide insights and recommendations related to cognitive performance, sleep, stress, and other health-related metrics. These insights are based on data from wearable devices and algorithms and should not be considered medical diagnoses or treatment plans.

10.6 Individual Variability

Health and cognitive performance are highly individual and influenced by numerous factors. What works for one person may not work for another. The Services cannot account for all variables affecting your health and well-being.

10.7 Accuracy of Data

While we strive for accuracy, we do not guarantee that all data, analytics, or insights provided by the Services are accurate, complete, or reliable. Wearable device data may contain errors or inaccuracies.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties that the Services will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy, reliability, or completeness of any content or information

We do not warrant that:

  • The Services will meet your specific requirements
  • The Services will be available at all times or in all locations
  • Any errors or defects in the Services will be corrected
  • The Services are free of viruses or other harmful components

Your use of the Services is at your sole risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEUROAURA, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or use
  • Personal injury or property damage
  • Any damages arising from your use or inability to use the Services

This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability shall be limited to the maximum extent permitted by law.

In no event shall our total liability to you for all damages, losses, and causes of action exceed the amount you paid to us in the 12 months preceding the claim (or $100, whichever is greater).

13. Indemnification

You agree to indemnify, defend, and hold harmless NeuroAura, LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights or privacy rights
  • Any content you submit, upload, or share through the Services

14. Third-Party Services and Links

The Services may contain links to third-party websites, applications, or services (e.g., Stripe for payment processing, Apple Watch integration). These third-party services are not under our control, and we are not responsible for their content, privacy policies, or practices.

Your use of third-party services is at your own risk and subject to the terms and policies of those third parties.

15. Modifications to Services and Terms

15.1 Changes to Services

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice, for any reason. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

15.2 Changes to Terms

We may update these Terms from time to time. When we make material changes, we will:

  • Post the updated Terms on our website with a new "Last Updated" date
  • Notify you via email (if you have provided us with your email address)

Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services.

16. Termination

16.1 Termination by You

You may terminate your account and stop using the Services at any time by contacting us at support@neuroaura.com.

16.2 Termination by Us

We reserve the right to suspend or terminate your access to the Services, with or without notice, if:

  • You violate these Terms
  • You engage in fraudulent, abusive, or illegal activity
  • We are required to do so by law
  • We discontinue the Services

16.3 Effect of Termination

Upon termination:

  • Your right to use the Services will immediately cease
  • We may delete your account and any associated data
  • Sections of these Terms that by their nature should survive termination (e.g., disclaimers, limitations of liability, indemnification) shall remain in effect

17. Dispute Resolution and Arbitration

17.1 Informal Resolution

Before filing a formal claim, you agree to contact us at support@neuroaura.com to attempt to resolve the dispute informally. We will make a good-faith effort to resolve the matter within 30 days.

17.2 Binding Arbitration

If we cannot resolve the dispute informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

Arbitration Terms:

  • The arbitration shall be conducted in Grand Rapids, Michigan (or another mutually agreed-upon location)
  • The arbitrator's decision shall be final and binding
  • Each party shall bear its own costs and attorneys' fees, unless the arbitrator awards fees to the prevailing party
  • You and NeuroAura waive the right to a jury trial

17.3 Class Action Waiver

You and NeuroAura agree that any arbitration or proceeding shall be conducted on an individual basis only and not as a class action, consolidated action, or representative action. You waive the right to participate in a class action lawsuit or class-wide arbitration.

17.4 Exceptions

Either party may seek injunctive or equitable relief in court to protect intellectual property rights or prevent unauthorized use of the Services.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.

For any disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Wyoming.

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and NeuroAura regarding the Services and supersede all prior agreements, understandings, and communications, whether written or oral.

21. Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of NeuroAura.

22. Assignment

You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.

23. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or failures of third-party services.
